TERMS AND DECLARATION SECTION

TREATMENT OF APPLICATIONS

  1. If your application is not completed correctly, including failure to sign the application, or if the accompanying payment is for the wrong amount, it may still be treated as valid. Shreedhar Motors Limited's (SML's) decision as to whether to treat your application as valid and how to construe, amend or complete it will be final.
  2. SML reserves to itself the sole right as to whether to accept or reject any application for shares. This right is absolute and final. You will not, however, be treated as having offered to purchase more shares in SML than is indicated by the amount of your cheque or cash payment.
  3. The acceptance of applications, quantity and the allotment of shares is at the discretion of SML.
  4. The actual number of shares that an applicant will receive will depend on the total applications received by SML:
    • If the total applications is less than the number of shares available, all valid applications will be fully allotted.
    • If the total applications exceed the number of shares available, SML reserves the right to reject any application or to allot a lesser number of shares than applied for. In the event of oversubscription, allotments may be made on a pro-rata basis at the discretion of the Directors.

    If an application is accepted in part only, the balance of the application monies will be refunded to the applicant within Seven (7) business days after the share allotment is completed. No interest will be paid on the refunded monies.

    Allotment of shares is expected to be completed no later than Seven (7) Business days after the Share Issue Closing Date. Shareholding Statements, will be issued to successful applicants and will be dispatched at the same time.

  5. Application monies will be held in a trust account on behalf of the applicants until shares are allotted to applicants. If the SML share offer does not procced, all application monies will be returned without interest.
